Mr. McLane has over forty years of experience handling matters for large
and small, public and private companies and partnerships. His broad
range of expertise positions him to counsel with business owners, corporate
executives, and Boards of Directors concerning business as well as legal
issues, including business formation and structure, corporate reorganization,
mergers and acquisitions, securities transactions, executive compensation
and employee benefits. Mr. McLane has proven success at spotting
and communicating legal issues, developing creative solutions to complex
problems, creating consensus and supervising and coordinating the work
of other attorneys domestically and internationally.
Served as an expert witness and assisted in the trial of a securities
fraud jury case involving a purportedly exempt private offering of stock purchased
by his client. After a three week trial, the jury awarded full actual
damages, punitive damages and attorney’s fees in favor of the client.
Served as corporate and securities law counsel in a suit involving a
buy-sell agreement among shareholders of a very successful privately held company. Assisted
in preparations for and attended Board and shareholder meetings with the client
as well as participated in all of the research and writing efforts for the
case. The client obtained an 8-digit settlement with the company and its majority
shareholders.
Represented executive officers, majority and minority stockholders,
Boards of Directors, and Audit and Special Board Committees.
Represented broker-dealers, investment bankers, investment advisors,
mutual funds and hedge funds.
Assisted with tender and exchange offers, spinoffs and going-private
transactions.
Assisted numerous companies in SEC and State Blue Sky Law filings.
Assisted numerous clients with FINRA, NASDAQ and stock exchange filings.
Assisted with formation of and transactions involving 401(k) plans,
ESOPs, stock option and stock purchase plans, as well as ERISA compliance and
executive compensation arrangements.
Represented insurance and reinsurance companies, both offshore and domestic.
Provided advice regarding corporate formation and structure, including
tax considerations, use of foreign entities, control and ownership features.
