Mr. Turner’s diverse background offers his clients a unique
perspective in evaluating the legal and practical business realities
critical in the formation or acquisition of a business and its operation
and disposition. Having represented clients through his tenure at Scheef
and Stone and his having acted as outside and inside general counsel,
he has assisted his clients in structuring, drafting and negotiating
shareholders’ agreements, limited liability company and limited
partnership agreements, employment agreements, venture financing documents,
intellectual property licenses, distribution agreements and asset and
stock purchase agreements. He has worked on transactions ranging in
size from thousands to millions of dollars. He also has extensive experience
in dealing with the relationship of a businesses’ stockholders
and its management through advising clients on their rights and obligations
as shareholders, officers and directors. Finally, Mr. Turner has overseen
and assisted his clients with disputes relating to all of the above
through conducting negotiations, mediations and assisting with litigation.
This experience enables him to provide the highest quality and cost
effective representation to clients at any stage of the business cycle.
